Arkansas LLC Annual Compliance Requirements (2026)
Everything your Arkansas LLC must do to stay in good standing, annual report deadlines, registered agent rules, and state-specific obligations.
Last updated: August 22, 2026
Arkansas is one of the cheapest states in the country to form an LLC and one of the more expensive to keep, and the gap between those two facts is the thing to plan around. The Certificate of Organization (form LL-01) costs $45 online or $50 by mail, the third-lowest formation fee nationally. From then on every Arkansas LLC owes a flat $150 franchise tax every year, so year two onward costs more than three times what forming cost. First-year state cost works out at about $195, roughly $37 below the national average. What Arkansas calls the annual report is the Annual LLC Franchise Tax Report, one document covering both, due on or before May 1 for the preceding calendar year. Because each report covers the prior year, an LLC organized in 2026 files its first report by May 1, 2027 rather than in its year of formation. Filing late adds a $25 penalty plus interest of 0.000274 per day on the tax and penalty together, and prolonged non-payment leads to revocation of the authority to do business. Northwest Arkansas, with Walmart headquartered in Bentonville and a growing retail technology and supply chain cluster, is where much of the state's LLC formation activity sits, and those companies face the same flat $150 whatever their revenue.

Annual Report Requirements
Registered Agent Requirements
Every Arkansas LLC must keep a registered agent with a physical Arkansas street address to accept service of process. This section covers who qualifies, what a commercial agent costs against serving yourself, how the appointment is confirmed on each franchise tax report, and why the address you list is a privacy decision as much as a compliance one.
Before you compare paid services: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. A paid service is one way to meet the requirement and not the only one. The Arkansas registered agent requirements set out what Arkansas itself asks.
Registered agent services for Arkansas LLCs
Affiliate disclosure: Northwest Registered Agent, Bizee, ZenBusiness and LegalZoom pay us a commission if you sign up through our link, at no extra cost to you. We list only the registered agent services we have an affiliate relationship with, so this is not a survey of the whole market.
This list is not scored. The four are listed cheapest annual renewal first, and every claim below is about the services listed here rather than the whole market.
- Northwest Registered Agent$125/yr renewal
Best for: Privacy-focused owners and anyone who just needs an agent, not a formation bundle
- Bizee$149/yr renewal
Best for: A free first year on every plan, renewing at $149/yr, if you're comfortable with the BBB caveat
- ZenBusiness$199/yr renewal
Best for: First-time founders forming a new LLC who want phone, email and chat support
- LegalZoom$249/yr renewal
Best for: Complex structures that want attorney consultations, which come with LegalZoom's Pro and Premium formation plans rather than this renewal price
Note: Bizee holds a C rating from the BBB and is not accredited. BBB's profile carries a live alert describing a pattern of complaints about unexpected charges, difficulty canceling and filing delays, and Bizee has posted a response to it. We flag this so you can make an informed choice.

Late Filing Penalties
Penalty: $25 penalty on the annual franchise tax report, plus interest of 0.000274 per day on the tax-plus-penalty total

Low Formation Fee, Higher Recurring Cost
Arkansas's formation fee ranks third-lowest nationally at $45 online, or $50 if you mail or deliver the Certificate of Organization. The saving is front-loaded: the flat $150 annual franchise tax means the recurring cost is more than three times what formation cost, so budget for year two before you celebrate year one.
May 1 Franchise Tax Report Deadline
The Annual LLC Franchise Tax Report is due on or before May 1 each year and carries the flat $150 tax; paying online by card adds a $5.00 processing fee. File late and a $25 penalty applies, with interest of 0.000274 per day accruing on the tax and penalty together. A mailed report must be received by close of business May 1 or carry a USPS postmark no later than midnight May 1, since postage meter dates are not accepted.
Registered Agent Requirement
All Arkansas LLCs must maintain a registered agent with a physical Arkansas address for service of process. This can be the LLC owner, a third-party service, or an Arkansas-based individual or entity willing to accept legal documents.
Business-Friendly Northwest Arkansas Ecosystem
Walmart's headquarters in Bentonville and the retail technology and logistics cluster around it give Northwest Arkansas an unusually concentrated customer base for supplier and supply chain businesses. The compliance obligations are identical wherever in the state you sit: the same $150 franchise tax, the same May 1 deadline.
Online Filing Costs Less Than Paper
Business and Commercial Services takes both formation documents and franchise tax reports through its online portal, and online is the cheaper channel: $45 against $50 to form, and $22.50 against $25 for a name reservation. Arkansas publishes no standard processing timeframe and no expedited option, saying only that filing online is the fastest route.
This guide is general information, not legal or tax advice, and reading it does not create an attorney-client relationship. It reports what each state publishes about filing deadlines, fees, and the consequences of missing them, with the sources this page cites. It cannot tell you what your own company owes: the date turns on when and where you formed, states change these rules between our reviews, and in several states an entity-level tax falls due in a year when no report does. Confirm your own dates with the filing office named on this page before you rely on one here, because the penalty for missing a deadline can be administrative dissolution of the company.
