Idaho LLC Annual Compliance Requirements (2026)

Everything your Idaho LLC must do to stay in good standing, annual report deadlines, registered agent rules, and state-specific obligations.

First-Year Total$100
Annual Ongoing$0/yr
vs National Avg- $131.53

Last updated: August 22, 2026

Idaho is one of the cheapest states in the country to keep an LLC in, and the reason is the annual report: Idaho Code 30-21-214(b)(7) lists it as "No fee". Ongoing state filing cost is $0 a year, third lowest of the 50 states. Getting started costs $100 for a certificate of organization filed through the state's online system, or $120 on paper because Idaho Code 30-21-214(f) adds a $20 surcharge to any form that requires manual data entry. A first year at $100 is about $132 below the national average and 12th cheapest overall.

Compliance here comes down to three things: file the free annual report before the end of your anniversary month each year, keep a registered agent with an Idaho street address, and keep your own records straight. Idaho imposes no annual LLC franchise or privilege tax and no newspaper publication requirement. The catch is the one every zero-fee state has. There is no invoice to jog your memory, and Idaho Code 30-21-601 lets the Secretary of State commence administrative dissolution of an entity that does not deliver its annual report by the due date. Reinstatement afterward costs $30.

First-year total bundles the state filing fee with any report or entity tax due in year one; the recurring figure is what Idaho costs every year after that. Registered Agent Requirements

Idaho requires every LLC to keep a registered agent with an Idaho street address to accept lawsuits and official notices. You confirm or update that information on the free annual report each year, and the record is public on sosbiz.idaho.gov.

Before you compare paid services: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. A paid service is one way to meet the requirement and not the only one. The Idaho registered agent requirements set out what Idaho itself asks.

Registered agent services for Idaho LLCs

Affiliate disclosure: Northwest Registered Agent, Bizee, ZenBusiness and LegalZoom pay us a commission if you sign up through our link, at no extra cost to you. We list only the registered agent services we have an affiliate relationship with, so this is not a survey of the whole market.

This list is not scored. The four are listed cheapest annual renewal first, and every claim below is about the services listed here rather than the whole market.

  • Best for: Privacy-focused owners and anyone who just needs an agent, not a formation bundle

  • Bizee$149/yr renewal

Best for: A free first year on every plan, renewing at $149/yr, if you're comfortable with the BBB caveat

  • ZenBusiness$199/yr renewal

Best for: First-time founders forming a new LLC who want phone, email and chat support

  • LegalZoom$249/yr renewal

Best for: Complex structures that want attorney consultations, which come with LegalZoom's Pro and Premium formation plans rather than this renewal price

Note: Bizee holds a C rating from the BBB and is not accredited. BBB's profile carries a live alert describing a pattern of complaints about unexpected charges, difficulty canceling and filing delays, and Bizee has posted a response to it. We flag this so you can make an informed choice.

Idaho-Specific Compliance Considerations

No Annual Report Fee Required

Idaho Code 30-21-214(b)(7) lists the annual report as "No fee", so unlike most states, which charge anything from a token amount to several hundred dollars a year, Idaho collects nothing for the filing. The report is still mandatory every year, and the state's leverage is administrative dissolution rather than a bill.

Anniversary Month Filing Schedule

Your report is due before the end of the month in which your certificate of organization became effective, and Idaho Code 30-21-213 requires it to be received by the close of business on that month's final day. The clock starts a year out, so an LLC organized in August 2026 files its first report by August 31, 2027. The anniversary system spreads deadlines across the calendar instead of creating one statewide rush.

Simplified Annual Reporting Process

Idaho takes the report through sosbiz.idaho.gov, the Secretary of State's online filing system, and asks only for basic entity information: the LLC name, its addresses, the registered agent, and the members or managers. Have your file number and agent details to hand before you sign in and the filing is straightforward.

No Late Filing Penalty

Idaho publishes no late fee for the annual report, and none appears in the fee statute at Idaho Code 30-21-214. There is no per-day or per-month charge and no discretionary penalty to negotiate. What replaces it is Idaho Code 30-21-601: once the report is past due, the Secretary of State may commence administrative dissolution, and reinstating the LLC afterward costs $30 under 30-21-214(b)(27).

This guide is general information, not legal or tax advice, and reading it does not create an attorney-client relationship. It reports what each state publishes about filing deadlines, fees, and the consequences of missing them, with the sources this page cites. It cannot tell you what your own company owes: the date turns on when and where you formed, states change these rules between our reviews, and in several states an entity-level tax falls due in a year when no report does. Confirm your own dates with the filing office named on this page before you rely on one here, because the penalty for missing a deadline can be administrative dissolution of the company.
