Illinois LLC Annual Compliance Requirements (2026)
Everything your Illinois LLC must do to stay in good standing, annual report deadlines, registered agent rules, and state-specific obligations.
Last updated: August 22, 2026
Illinois compliance is predictable, though the state is not among the cheapest in the country. Articles of Organization cost $150 under 805 ILCS 180/50-10 and the annual report is $75, which puts first-year cost at $225. That ranks Illinois 35th cheapest of the 50 states and lands it roughly $7 below the national average of about $232. The report deadline is tied to your own formation date rather than one statewide date: under 805 ILCS 180/50-15(a) it is due before the first day of your LLC's anniversary month, which spreads filings across the calendar instead of bunching every business into the same week. Two Illinois specifics belong in your budget. Organizing with the ability to establish series raises the formation fee to $400 and adds $50 per series to every annual report. And although Illinois has no LLC franchise tax, an LLC taxed as a partnership pays Personal Property Replacement Tax at 1.5% of its net Illinois income to the Illinois Department of Revenue, an entity-level tax that sits on top of the members' own Illinois income tax. Beyond those, Illinois imposes no newspaper publication requirement for LLCs, so the recurring load is the $75 report, a registered agent with an Illinois street address, and your state tax filings.

Registered Agent Requirements
Every Illinois LLC must keep a registered agent with a physical street address in Illinois to receive service of process and official state correspondence. Compare acting as your own agent against hiring a commercial service, and file a statement of change with the Secretary of State whenever the agent or the agent's address changes.
Before you compare paid services: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. A paid service is one way to meet the requirement and not the only one. The Illinois registered agent requirements set out what Illinois itself asks.
Registered agent services for Illinois LLCs
Affiliate disclosure: Northwest Registered Agent, Bizee, ZenBusiness and LegalZoom pay us a commission if you sign up through our link, at no extra cost to you. We list only the registered agent services we have an affiliate relationship with, so this is not a survey of the whole market.
This list is not scored. The four are listed cheapest annual renewal first, and every claim below is about the services listed here rather than the whole market.
- Northwest Registered Agent$125/yr renewal
Best for: Privacy-focused owners and anyone who just needs an agent, not a formation bundle
- Bizee$149/yr renewal
Best for: A free first year on every plan, renewing at $149/yr, if you're comfortable with the BBB caveat
- ZenBusiness$199/yr renewal
Best for: First-time founders forming a new LLC who want phone, email and chat support
- LegalZoom$249/yr renewal
Best for: Complex structures that want attorney consultations, which come with LegalZoom's Pro and Premium formation plans rather than this renewal price
Note: Bizee holds a C rating from the BBB and is not accredited. BBB's profile carries a live alert describing a pattern of complaints about unexpected charges, difficulty canceling and filing delays, and Bizee has posted a response to it. We flag this so you can make an informed choice.

Late Filing Penalties
Penalty: $100 under 805 ILCS 180/50-15(b)(1) once the report is unfiled past the first day of the second month after your anniversary month, plus $100 for each further year

Anniversary Month Annual Report Filing
Illinois has no single statewide filing date. Under 805 ILCS 180/50-15(a) your annual report is due before the first day of your LLC's anniversary month, the month in which your Articles of Organization were accepted, so a March LLC files before March 1 every year. The statutory $100 penalty does not attach until you pass the first day of the second month after that anniversary month, which gives a March LLC until May 1, but the anniversary date is the deadline to plan around.
No Publication Requirement
Illinois doesn't require LLCs to publish formation notices in newspapers, unlike neighboring states such as New York. This saves LLC owners hundreds of dollars in publication costs and eliminates a common compliance hurdle that can delay business launch.
Modern LLC Act Framework
Illinois operates under an updated Limited Liability Company Act that provides clear guidelines for member rights, management structures, and dissolution procedures. The act offers strong liability protections while allowing maximum flexibility in operating agreements and business structure.
Late Penalties Compound Year by Year
The Illinois late penalty is fixed by statute, not left to the Secretary of State's discretion. Under 805 ILCS 180/50-15(b)(1) a $100 penalty attaches once the report is not filed before the first day of the second month after your anniversary month, and another $100 is added for each year or fraction of a year beginning with the second year of delinquency. Three years behind means $300 in penalties on top of $225 in unpaid report fees. An LLC that stays delinquent can be administratively dissolved, and reinstatement costs $200 under 805 ILCS 180/50-10.
This guide is general information, not legal or tax advice, and reading it does not create an attorney-client relationship. It reports what each state publishes about filing deadlines, fees, and the consequences of missing them, with the sources this page cites. It cannot tell you what your own company owes: the date turns on when and where you formed, states change these rules between our reviews, and in several states an entity-level tax falls due in a year when no report does. Confirm your own dates with the filing office named on this page before you rely on one here, because the penalty for missing a deadline can be administrative dissolution of the company.
