Nevada LLC Annual Compliance Requirements (2026)
Everything your Nevada LLC must do to stay in good standing, annual report deadlines, registered agent rules, and state-specific obligations.
Last updated: August 22, 2026
Nevada is a business-friendly state with no personal income tax and no franchise tax on LLCs, but it is one of the most expensive states in the country to simply keep an LLC in good standing. The headline $75 Articles of Organization fee is misleading. NRS 86.263(1) requires the $150 Initial List of Managers or Managing Members to be filed at the same time as the articles, and NRS 76.100 requires the $200 State Business License to be obtained at the time of that initial list, so the unavoidable day-one total is $425, roughly $193 above the national average for first-year cost. That places Nevada 44th of 50 states on first-year cost and 45th of 50 on ongoing annual cost. After year one, the recurring charge is $350: a $150 Annual List plus the $200 license renewal, both due on or before the last day of the month in which the anniversary of your organization falls, not on a universal statewide date. Miss it and NRS 86.263 adds $75 to the list while NRS 76.100 adds $100 to the license, $175 in penalties on top of the $350. Nevada requires no newspaper publication, and its Commerce Tax under NRS Chapter 363C reaches only businesses above $4 million in Nevada gross revenue, so most small LLCs owe nothing there. The SilverFlume portal handles the filings, and Las Vegas and Reno anchor the state's hospitality, gaming technology and advanced manufacturing sectors.

Annual Report Requirements
Registered Agent Requirements
Understand Nevada's registered agent rules, explore your options, and keep the agent's name and Nevada street address current, since they are confirmed on every Annual List you file.
Before you compare paid services: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. A paid service is one way to meet the requirement and not the only one. The Nevada registered agent requirements set out what Nevada itself asks.
Registered agent services for Nevada LLCs
Affiliate disclosure: Northwest Registered Agent, Bizee, ZenBusiness and LegalZoom pay us a commission if you sign up through our link, at no extra cost to you. We list only the registered agent services we have an affiliate relationship with, so this is not a survey of the whole market.
This list is not scored. The four are listed cheapest annual renewal first, and every claim below is about the services listed here rather than the whole market.
- Northwest Registered Agent$125/yr renewal
Best for: Privacy-focused owners and anyone who just needs an agent, not a formation bundle
- Bizee$149/yr renewal
Best for: A free first year on every plan, renewing at $149/yr, if you're comfortable with the BBB caveat
- ZenBusiness$199/yr renewal
Best for: First-time founders forming a new LLC who want phone, email and chat support
- LegalZoom$249/yr renewal
Best for: Complex structures that want attorney consultations, which come with LegalZoom's Pro and Premium formation plans rather than this renewal price
Note: Bizee holds a C rating from the BBB and is not accredited. BBB's profile carries a live alert describing a pattern of complaints about unexpected charges, difficulty canceling and filing delays, and Bizee has posted a response to it. We flag this so you can make an informed choice.

Late Filing Penalties
Penalty: $75 on the Annual List (NRS 86.263) plus $100 on the State Business License (NRS 76.100), so a fully late LLC owes $175 on top of $350 in base charges

Anniversary Month Filing System
Unlike states that use a calendar-year deadline, Nevada requires the Annual List of Managers or Managing Members on or before the last day of the month in which the anniversary of your organization occurs. This personalized deadline means you track your own date rather than a universal state deadline, and it is the same date the State Business License renewal is due.
Two Mandatory Charges, Not One
The $150 Annual List under NRS 86.263 and the $200 State Business License under NRS 76.100 are independent mandatory charges with no small-business or zero-revenue exemption, so the real recurring cost is $350 a year. Budgeting only for the list understates your annual obligation by $200.
The Initial List Is Due at Formation
NRS 86.263(1) requires the Initial List of Managers or Managing Members to be filed at the same time as the articles of organization, and it carries the same $150 fee. Add the $200 State Business License that NRS 76.100 requires at that moment, and opening a Nevada LLC costs $425 on day one rather than the $75 articles fee alone.
Managers and Managing Members Are Named Publicly
Nevada is often marketed as a privacy state, but the filing itself is a list of managers or managing members, filed initially at formation and again every year. Those names go on the public record with each list, so treat Nevada's privacy advantage as narrower than the marketing suggests and confirm what a given filing discloses before relying on it.
No State Income Tax, but a Commerce Tax Above $4 Million
Nevada imposes no personal income tax and no franchise tax on LLCs. The Commerce Tax under NRS Chapter 363C is a separate charge that applies only to businesses with more than $4 million in Nevada gross revenue, so most small LLCs owe nothing there while still paying the $350 in yearly state charges.
This guide is general information, not legal or tax advice, and reading it does not create an attorney-client relationship. It reports what each state publishes about filing deadlines, fees, and the consequences of missing them, with the sources this page cites. It cannot tell you what your own company owes: the date turns on when and where you formed, states change these rules between our reviews, and in several states an entity-level tax falls due in a year when no report does. Confirm your own dates with the filing office named on this page before you rely on one here, because the penalty for missing a deadline can be administrative dissolution of the company.
