Iowa LLC Annual Compliance Requirements (2026)

Everything your Iowa LLC must do to stay in good standing, annual report deadlines, registered agent rules, and state-specific obligations.

First-Year Total$65
Annual Ongoing$15/yr
vs National Avg- $166.53

Last updated: August 22, 2026

Iowa is one of the least expensive states in the country in which to form and keep an LLC. The certificate of organization costs $50 under Iowa Code 489.122(1)(c), the 7th lowest formation fee of the 50 states, and the only recurring Secretary of State filing is a biennial report: $30 filed electronically or $45 on paper, due between January 1 and April 1 of each odd-numbered year. First-year cost therefore comes to $65, about $167 below the national average of roughly $232, and the recurring cost averages about $15 a year because nothing is due in the intervening year. Iowa imposes no LLC franchise tax and no minimum entity tax, and Iowa Code 489.122 attaches no monetary late penalty to a delinquent report.

What sets Iowa apart beyond price is a concentration of insurance and financial services work, centered on Des Moines and Cedar Rapids. Principal Financial Group is headquartered in Des Moines, and several national carriers run large Iowa operations, which gives new service businesses a deep local customer base. Iowa's approach to LLC regulation matches that plainness: a single biennial filing, a filing window rather than a single deadline, no newspaper publication requirement, and no penalty schedule to decode. The obligation that does carry teeth is procedural. Under Iowa Code 489.708(2) the secretary of state may commence a proceeding to administratively dissolve an LLC once its report is 60 days past due.

Registered Agent Requirements

Everything you need to know about choosing and maintaining a registered agent in Iowa to keep your LLC compliant and protect your privacy.

Before you compare paid services: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. A paid service is one way to meet the requirement and not the only one. The Iowa registered agent requirements set out what Iowa itself asks.

Registered agent services for Iowa LLCs

Affiliate disclosure: Northwest Registered Agent, Bizee, ZenBusiness and LegalZoom pay us a commission if you sign up through our link, at no extra cost to you. We list only the registered agent services we have an affiliate relationship with, so this is not a survey of the whole market.

This list is not scored. The four are listed cheapest annual renewal first, and every claim below is about the services listed here rather than the whole market.

  • Best for: Privacy-focused owners and anyone who just needs an agent, not a formation bundle

  • Bizee$149/yr renewal

Best for: A free first year on every plan, renewing at $149/yr, if you're comfortable with the BBB caveat

  • ZenBusiness$199/yr renewal

Best for: First-time founders forming a new LLC who want phone, email and chat support

  • LegalZoom$249/yr renewal

Best for: Complex structures that want attorney consultations, which come with LegalZoom's Pro and Premium formation plans rather than this renewal price

Note: Bizee holds a C rating from the BBB and is not accredited. BBB's profile carries a live alert describing a pattern of complaints about unexpected charges, difficulty canceling and filing delays, and Bizee has posted a response to it. We flag this so you can make an informed choice.

Iowa-Specific Compliance Considerations

Biennial Reporting Schedule

Unlike most states, which require an annual filing, Iowa asks for a report only every two years, and only in odd-numbered years. The window runs from January 1 to April 1 (Iowa Code 489.212(3)), and your first report falls in that window in the first odd-numbered year following the calendar year the LLC was formed. An LLC formed at any point in 2026 files its first report between January 1 and April 1, 2027.

Exceptionally Low Filing Costs

Iowa's $50 formation fee is the 7th lowest of the 50 states, and with the $30 electronic biennial report the first-year total is $65, roughly $167 below the national average of about $232. Averaged across the two-year cycle the recurring cost is about $15 a year. Optional extras stay small: a name reservation is $10, and a certificate of existence or a certified copy is $5.

No Late Fee, but a Dissolution Clock

Iowa Code 489.122 sets no monetary late penalty for a delinquent biennial report, so a late filing costs the same $30 or $45 as an on-time one. The pressure comes from Iowa Code 489.708(2), which lets the secretary of state commence a proceeding to administratively dissolve an LLC once the report is 60 days past due, roughly the end of May in a filing year. Reinstatement afterwards costs $5 under Iowa Code 489.122(1)(q).

No Publication Requirement

Iowa Code chapter 489 imposes no newspaper publication requirement on LLC formation, so you avoid the cost and the coordination that states such as New York and Arizona still require. Filing the certificate of organization with the Secretary of State is the whole of your public notice.

This guide is general information, not legal or tax advice, and reading it does not create an attorney-client relationship. It reports what each state publishes about filing deadlines, fees, and the consequences of missing them, with the sources this page cites. It cannot tell you what your own company owes: the date turns on when and where you formed, states change these rules between our reviews, and in several states an entity-level tax falls due in a year when no report does. Confirm your own dates with the filing office named on this page before you rely on one here, because the penalty for missing a deadline can be administrative dissolution of the company.
